Job Purpose

Reporting directly to the General Counsel North America, this role will lead strategic negotiations and provide critical legal and business input that directly influences the company’s global procurement, IT, digital innovation, and data governance strategies. The role will not only advise, but also make independent decisions on key terms and risks, shaping outcomes that materially impact operational and financial performance.

Key Responsibilities

The Senior Managing Counsel – NA Privacy & Technology Contracts will:

 

  • Play a critical role in influencing the company’s digital transformation agenda by shaping the legal frameworks behind high-value technology agreements and strategic vendor relationships. Their input will directly affect vendor selection, innovation partnerships, and the company’s ability to execute key tech initiatives across North America.
  • Lead complex negotiations and make final recommendations on contractual terms, balancing legal risk with business objectives to directly support the achievement of financial and operational goals.
  • Make independent legal and strategic decisions on contract terms, escalating only in high-risk or precedent-setting cases.
  • Translate legal requirements into actionable contract structures and business solutions that support technology-driven revenue growth and cost optimization.
  • Proactively identify legal and business risks and shape contract strategies that enhance the company’s competitive position in digital innovation and precision technologies.
  • Influence deal structures, vendor engagement models, and investment terms with measurable impact on technology program execution and return on investment.
  • Provide M&A/VC transaction support including due diligence, contract review, contract negotiation and drafting.
  • Provide legal support on global privacy and data protection matters, including GDPR, CCPA/CPRA, and other relevant regulations.
  • Conduct privacy impact assessments and advise on data collection, use, storage and cross-border data transfers.
  • Support incident response in case of data breaches or regulatory inquiries.
  • Maintain expert knowledge and awareness of legislation, regulations and caselaw with respect to privacy, technology and commercial contract issues to reduce business risk and ensure legal compliance.
  • Provide practical, business focused advice to the executive team with respect to technology and commercial contract issues.
  • Develop and maintain templates, playbooks and guidance for frequently negotiated terms and privacy compliance.
  • Manage outside counsel, fees and case budgets for situations requiring external support.
  • Provide training to business clients on privacy, technology and commercial contract issues.

Experience Required

  • J.D. and a current membership with the appropriate state bar.
  • Privacy Certification (CIPP)
  • Minimum 12 years related experience at a large corporate law firm, a boutique technology and commercial contract firm, or in-house with relevant contracting and counseling experience.

 

Preferred Qualifications

 

  • Demonstrated judgment guiding business teams through challenging issues.
  • Proven experience providing guidance and advice to internal clients.
  • Strong executive presence, paired with excellent written and verbal communication.
  • Ability to provide timely, practical solutions for business clients.
  • Ability to work independently, exercise practical business judgment and meet concurrent deadlines.
  • Willingness to respond to clients and counsel beyond regular business hours when needed.

Pay Transparency

​The annual salary for this role is USD $148,500.00 - $220,000.00 plus any applicable bonus (Actual salaries will vary and will be based on various factors, such as skill, experience and qualification for the role.)
