Job Purpose
We are seeking a seasoned Corporate Affairs Lawyer to join our Legal team at our Oak Brook, Illinois office. This is a critical role for an experienced legal professional with deep expertise in corporate governance, SEC reporting, and public company compliance. The successful candidate will be responsible for managing a wide range of corporate legal matters, supervising two paralegals, and working closely with executive leadership to ensure legal and regulatory excellence across the organization.
Key Responsibilities
Corporate Governance & Board Support
- Coordinating the agenda for board of directors, committee and shareholder meetings and ensuring meeting minutes are recorded, and applicable next steps are completed.
- Ensuring corporate legal documents are in compliance with all applicable laws and regulations.
- Prepares and maintains official corporate notices, records, and actions of the board of directors and committees and ensures compliance with statutory reporting requirements.
- Monitor and develop procedures set in place by the board of directors/executive team regarding corporate governance, follow developments affecting corporate governance and make recommendations to the board on development of best practices.
- Manage board and committee operations, including meeting logistics, resolutions, minutes, and annual calendars.
Public Company Compliance
- Lead preparation and filing of SEC documents including 10-Ks, 10-Qs, 8-Ks, proxy statements, and Section 16 filings.
- Oversee disclosure processes and advise on Reg FD, insider trading policies, and earnings releases.
- Coordinate with Finance, Investor Relations, and Communications on disclosure and compliance matters.
- Ensure compliance with applicable NYSE listing standards and SEC rules.
Entity & Corporate Management
- Oversee management of domestic and international subsidiaries, including annual filings and corporate records.
- Collaborate with outside counsel on global entity governance and regulatory requirements.
Transactional Support
- Provide legal support for M&A, financing, and other corporate transactions.
Team Leadership

- Manage and mentor two paralegals, ensuring high performance, development, and alignment with department goals.
- Foster a culture of accountability, collaboration, and continuous improvement.
Experience Required
- J.D. from an accredited U.S. law school; licensed to practice law in Illinois or eligible for in-house counsel registration.
- Minimum 10 years of legal experience with a strong emphasis on public company corporate governance and securities law (Mix of top-tier law firm and in-house experience preferred).
- Expertise in SEC regulations, Exchange Act filings, Sarbanes-Oxley compliance, and NYSE rules.
- Proven experience advising senior leadership and boards of directors.
Preferred Qualifications
- Experience with cross-border governance or multinational entity structures.
- Familiarity with ESG reporting frameworks and shareholder engagement.
- Previous experience in a mid-size or large public company.
- Strong leadership skills and experience managing legal professionals.
- Excellent judgment, communication, and organizational skills.
Pay Transparency
The annual salary for this role is $178,500 - $223,125 plus any applicable bonus (Actual salaries will vary and will be based on various factors, such as skill, experience and qualification for the role.)
