Job Purpose

The Legal Counsel Financial Services APAC will be responsible to provide legal support to the Financial Services team in India, in respect of the established Non-Banking FinanceCompany/ Financial Institution (“NBFC”) regulated by the Reserve Bank of India (“RBI”).

The Legal Counsel Financial Services, India, will actively participate as a member of the Financial Services India Leadership team, APAC Legal team and of the global CNH Industrial FS L&C. The Legal Counsel Financial Services India will support, and coordinate with, the APAC General Counsel as well as support and coordinate with the local and regional Compliance and Ethics team in handling compliance matters in connection with trade finance and financial services transactions, projects, employees and activities.

Key Responsibilities

• Handling financial services and trade finance related transactions, including but not limited to projectsand activities in India, coordinating with the other members of the APAC Legal team as needed.
• Drafting, reviewing and assisting in the negotiation of commercial agreements.
• advising the NBFC in connection with wholesale and retail finance transactions, and the legalimplications relating to the business operations connected therewith including processes andpolicies.
• Advising in connection with the regulatory regime applicable to the NBFC including but not limited to,the RBI, the SEBI and other regulatory bodies.
• Monitoring changes in local/global legislation and ensuring business practices adhere to relevantlaws (for example, privacy, corporate governance and industry specific laws and regulations).
• Structuring, negotiation, implementation and/or renewal of vendor programs and other retail and/orwholesale agreements with customers and financial services partners (banks, leasing companies,other financing entities).
• Assisting in the collection of debts of the distributors, dealers, key clients and other direct customersof the CNH Industrial Capital group companies in India and evaluate and implement credit recovery,settlements and/or set-off actions, coordinating with the other members of the APAC Legal team inthe relevant sub-regions and APAC Credit.
• Identifying legal risks in business operations and advising management on mitigation strategies.
• Assisting with board matters, maintaining legal documentation, and managing intellectual propertyportfolios.
• Structuring, reviewing, implementing and monitoring credit collaterals.
• Managing legal disputes, advising on settlements, and coordinating with external counsel whenlitigation is required.
• Negotiating and executing debt restructuring projects of the commercial network, coordinating withthe other members of the APAC Legal team in the relevant sub-regions and the APAC Credit.
• Reviewing and standardizing collateral documentation (bank or parent company guarantees,mortgages, pledges, insurance coverage, etc.).
• Structuring, negotiation and implementation of possible trade receivable securitization projects incoordination with the other Legal Counsel in APAC and in Global. 
• Streamlining process and systems for FS L&C in India

Experience Required

Minimum 10 PQE and 5 Years minium in same industry 

Preferred Qualifications

Qualification: LL.B (added advatange LL.M / CS)
